Guidelines for Members of Northlands

 

 

1. Northlands is a limited company run by its members. The financial liability of any one member in the event of the organisation being wound up is limited to £1 sterling.

2. The members elect a Board of Directors each year at the Annual General Meeting. The Board delegates responsibility for the day-to-day running of the organisation to a Chief Executive and his staff.

3. The Board meets approximately ten times a year, on a monthly basis except in the summer and at Christmas. At busy times of the year the Board may have to meet more often.

4. Potential members must apply to the existing Board of Directors to become a member. Application forms will be sent out to those who express an interest in becoming a member.

5. There will be an annual charge for membership of £5. This is payable in advance of or at the Annual General Meeting (AGM). Membership fees must be paid no later than before the start of the AGM.

6. All members are entitled to vote on resolutions presented at an AGM. This means a member has a vote in deciding who should serve on the Board of Directors.

7. Northlands would like to attract a range of people from a variety of backgrounds as members. Particularly welcome will be former residents (although it is likely that there will be a limit on the number of places available to former residents) as well as individuals with special skills or experience. Thus individuals with medical, legal, financial or managerial experience are always needed by the organisation. Health & Safety is important, fundraising is definitely an on-going priority for Northlands and we would value people with knowledge of the media and public relations. A person with a background in architecture or design would be an asset and Information Technology is another area that we would also like to prioritise for the Board of Directors.

8. Typically, a person elected to the Board of Directors might expect to serve for a period of three years. However, it is possible to resign at any time and certainly annually at the next AGM.

9. Membership is not open to anyone who is also a paid member of staff of Northlands.

10. When a date for the next AGM is set anyone who has been accepted as a member will be given notice of that date as well as the time and venue. This will be done within the appropriate notice period.
